ROCKSOLDI LTD and WhaleRider are not a broker-dealer, investment adviser, exchange, alternative trading system, clearing agency, custodian, bank, fiduciary, or execution venue. WhaleRider does not hold customer funds or securities, execute trades, place orders, manage assets, enable transactions, or provide personalized investment, legal, tax, or accounting advice.
Agreement and eligibility
These Terms of Service (the Terms) govern your access to and use of the WhaleRider website at whalerider.org, APIs, command-line tools, integrations, software, documentation, simulations, and related services (collectively, the Service).
WhaleRider is operated by ROCKSOLDI LTD, Company No. 517177309 (referred to in these Terms as WhaleRider, we, us, or our).
By accessing or using the Service, you agree to these Terms. You must be at least 18 years old and legally capable of entering into a binding agreement. If you use the Service for an organization, you represent that you have authority to bind that organization; references to you include that organization.
The Service and your license
WhaleRider provides software through which users define their own systematic rules and research hypotheses. The Service validates those user-defined rules, runs historical simulations using market and financial data, and helps users analyze simulated results. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal research and business purposes.
You receive no ownership interest in the Service. Any rights not expressly granted are reserved by ROCKSOLDI LTD and its licensors.
No brokerage, advisory, or fiduciary relationship
The Service is a user-directed research and historical-simulation tool only. Information, user-defined rules, validations, simulations, metrics, charts, analyses, AI-assisted responses, and examples are provided for technical and informational purposes. They are not an offer, solicitation, recommendation, endorsement, financial promotion, trading signal, or advice to buy, sell, hold, or otherwise transact in any security, financial instrument, or digital asset.
WhaleRider does not determine which securities a user should buy or sell, provide personalized investment recommendations, execute trades, place orders, provide brokerage services, manage assets, or enable transactions. No communication or use of the Service creates a brokerage, advisory, fiduciary, agency, partnership, or similar relationship. You control the research hypotheses and rules you submit and remain solely responsible for any independent decision or activity outside the Service.
Simulations, market data, and AI limitations
Historical and simulated performance is hypothetical, is prepared with the benefit of hindsight, and does not represent actual trading. Results may omit or imperfectly model liquidity, market impact, slippage, latency, fees, taxes, borrowing availability, corporate actions, data corrections, execution constraints, and other real-world conditions. Past, backtested, or simulated performance does not guarantee future results.
Market and reference data may be delayed, incomplete, inaccurate, adjusted, or supplied by third parties. AI systems can misunderstand instructions, omit relevant facts, or generate incorrect output. Validation indicates conformity with supported technical rules; it does not establish profitability, safety, regulatory compliance, suitability, or correctness of an investment thesis.
You must independently inspect and test all definitions, source data, assumptions, outputs, and code before relying on them. Do not use the Service as the sole basis for a financial decision or in a context where an error could cause personal injury or other safety-critical harm.
Your responsibilities
You control your research hypotheses, user-defined rules, simulation settings, connected tools, and any decision or activity outside the Service. You are solely responsible for:
- your research rules, instructions, data, configurations, and decisions;
- reviewing outputs and maintaining appropriate human oversight;
- compliance with securities, market-abuse, sanctions, export-control, privacy, intellectual-property, and other laws that apply to you;
- obtaining any required registrations, approvals, licenses, data rights, and third-party permissions; and
- any external activity, losses, taxes, reporting, and recordkeeping arising from decisions made outside the Service.
Organization access and security
Your organization’s admin access key is a sensitive credential. Keep it confidential, store it securely, and do not embed it in public repositories, client-side code, screenshots, or shared documents. You are responsible for activity performed with credentials issued to your organization and for promptly requesting replacement of a lost or compromised key.
We may rotate, replace, suspend, or revoke credentials when reasonably necessary to protect the Service, your organization, or others. Recovery may require verification of the organization name and admin email. You must provide accurate, current information and promptly notify us of suspected unauthorized access.
Acceptable use
You may not use the Service to violate law or third-party rights; manipulate markets; facilitate fraud, deception, or abusive trading; evade sanctions or access controls; probe or disrupt systems; introduce malicious code; scrape or overload the Service; reverse engineer protected components except where law expressly permits; resell or sublicense the Service without written permission; or misrepresent WhaleRider output as regulated financial advice.
You may not use automated means in a manner that materially exceeds documented interfaces or degrades availability for others. We may investigate suspected misuse and cooperate with lawful requests from authorities.
Your content and third-party services
You retain ownership of research definitions, instructions, and other content you submit (Customer Content). You grant us a worldwide, non-exclusive license to host, process, transmit, reproduce, and display Customer Content only as reasonably necessary to provide, secure, maintain, and improve the Service and meet legal obligations.
You represent that you have the rights needed to provide Customer Content and connect third-party services. ChatGPT, Claude, Paddle, market-data providers, and other integrations are independent services governed by their own terms and privacy practices. We do not control and are not responsible for their availability, content, security, decisions, or acts.
Intellectual property and feedback
The Service, including its software, language, schemas, documentation, design, trademarks, and underlying technology, is owned by ROCKSOLDI LTD or its licensors and is protected by intellectual-property laws. You may not remove proprietary notices or use WhaleRider or ROCKSOLDI LTD marks without permission.
If you provide feedback, you grant ROCKSOLDI LTD a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.
Subscriptions, billing, and taxes
Prices, billing periods, and included features are shown before purchase. Subscriptions renew automatically until canceled. Paddle is our Merchant of Record and processes purchases, billing, applicable taxes, invoices, cancellations, and refunds. Your purchase is also subject to the Paddle Buyer Terms.
You authorize recurring charges for the selected plan. Paddle may update tax or currency amounts as required. Cancellation and refund terms are described in our Refund Policy. We may change future prices or plan features with reasonable notice; changes do not retroactively alter an already-paid billing period.
Availability, beta features, and changes
The Service may be modified, interrupted, delayed, limited, or discontinued. Early-access, preview, and beta features may be incomplete, change without notice, or contain errors. We do not promise uninterrupted availability, preservation of every output, or compatibility with every third-party service. You should keep independent copies of important definitions and results.
Suspension and termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms, fail to pay, create security or legal risk, abuse the Service, or if continued provision becomes unlawful or impracticable. Where reasonable, we will provide notice and an opportunity to cure.
Upon termination, your license ends. Provisions concerning ownership, payment obligations, disclaimers, liability, indemnity, and disputes survive. We may delete Customer Content after a reasonable retention period, subject to legal and operational requirements.
Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” ROCKSOLDI LTD disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and results. We do not warrant that the Service will be error-free, that defects will be corrected, or that any research rule or output will be profitable, compliant, or suitable.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, ROCKSOLDI LTD and its owners, personnel, affiliates, licensors, and suppliers will not be liable for lost profits, trading or investment losses, lost revenue, lost data, business interruption, reputational harm, or any indirect, incidental, special, consequential, exemplary, or punitive damages, even if advised that such loss was possible.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts paid for the Service during the 12 months before the event giving rise to the claim or (b) USD 100. These limits apply regardless of the theory of liability and do not apply where liability cannot lawfully be limited.
Indemnity
If you use the Service for business or professional purposes, you will defend, indemnify, and hold harmless ROCKSOLDI LTD and its owners, personnel, affiliates, licensors, and suppliers from third-party claims, losses, liabilities, and reasonable costs arising from your Customer Content, external activities, violation of law or third-party rights, misuse of the Service, or breach of these Terms.
Disputes and general terms
Before filing a claim, contact us and give us 30 days to attempt an informal resolution. To the extent permitted by law, claims must be brought individually and not as part of a class or representative action. These Terms are governed by the laws of Israel, and the competent courts in Tel Aviv-Jaffa, Israel have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
If any provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, sale, or transfer of the Service. These Terms, the referenced policies, and any written order form are the entire agreement concerning the Service.
Changes and contact
We may update these Terms to reflect changes to the Service, law, or risk. We will post the updated version and revise the date above. Material changes will apply prospectively after reasonable notice where required. Continued use after the effective date constitutes acceptance.
